1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of Glomiq's websites, applications, and related services (collectively, the "Services") provided by Glomiq ("Glomiq," "we," "us," or "our"). By creating an account, clicking to accept, or using the Services, you agree to these Terms and our Privacy Policy.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. You must provide accurate account information and keep your credentials secure.

3. The Services

Glomiq is an AI-powered document intelligence platform that helps you upload documents (for example, Word and PDF), detect fields and variables, build reusable templates, and generate outputs. Features may vary by plan, region, or product configuration.

We may modify, suspend, or discontinue features with reasonable notice where practicable. We may also impose usage limits (such as upload size, processing quotas, or rate limits) to protect platform stability and fair use.

4. Accounts and Security

• You are responsible for activity under your account and for safeguarding passwords and MFA devices.
• You must notify us promptly at support@glomiq.com if you suspect unauthorized access or a security incident.
• We may suspend accounts that present security risk, fraud risk, or violate these Terms.

5. Your Content

You retain ownership of documents, templates, inputs, and other materials you submit to the Services ("Your Content"). You are responsible for Your Content and for ensuring you have all rights and consents needed to upload and process it, including any personal data contained in documents.

You grant Glomiq a non-exclusive, worldwide license to host, process, transmit, display, and create derivative outputs (such as extracted fields, structured data, and generated documents) solely to provide, secure, and improve the Services as described in our Privacy Policy.

You represent that Your Content does not violate applicable law or third-party rights, and that you will not upload unlawful, infringing, or malicious content.

6. AI Processing and Output Disclaimer

The Services use artificial intelligence and automated processing. AI outputs may be incomplete, inaccurate, or unsuitable for your specific legal, financial, medical, or compliance use cases.

• You are responsible for reviewing outputs before relying on them.
• Glomiq does not provide legal, tax, or professional advice.
• Where permitted by law, Glomiq disclaims warranties related to AI accuracy, fitness for a particular purpose, or non-infringement of third-party rights in generated content.

7. Acceptable Use

You agree not to misuse the Services. Without limitation, you must not:

• Violate applicable laws or regulations
• Infringe intellectual property or privacy rights of others
• Attempt to probe, scan, or test the vulnerability of the Services without authorization
• Interfere with or disrupt the Services, networks, or security controls
• Use the Services to distribute malware, spam, or deceptive content
• Reverse engineer or attempt to extract models or non-public APIs except where permitted by law
• Use the Services to build a competing product through systematic scraping or automated harvesting

8. Subscriptions, Fees, and Taxes

Paid plans, renewals, refunds, and cancellations are governed by the terms presented at purchase and on our pricing page. Fees may be charged by third-party payment processors (such as Razorpay, Stripe, or PayPal).

• Fees are exclusive of applicable taxes unless stated otherwise.
• Failed payments may result in suspension of paid features.
• Downgrades or cancellations may take effect at the end of the current billing period, as described at purchase.

9. Intellectual Property

The Services, software, branding, and documentation are owned by Glomiq or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

Feedback you provide may be used by Glomiq without obligation to you, except where prohibited by law.

10. Third-Party Services

The Services may integrate with third-party providers (including cloud infrastructure, authentication providers, payment processors, and AI model providers). Your use of third-party services may be subject to their terms and privacy policies.

11. Confidentiality

We handle Your Content in accordance with our Privacy Policy and reasonable security practices. You agree to keep non-public information about the Services confidential where you receive it under a reasonable expectation of confidentiality.

12. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available." Glomiq disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are not legally permitted.

13. Limitation of Liability

To the maximum extent permitted by law, Glomiq will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Services.

To the maximum extent permitted by law, Glomiq's aggregate liability for all claims relating to the Services in any twelve-month period is limited to the greater of (a) the fees you paid to Glomiq for the Services during that period, or (b) one hundred US dollars (USD $100), if you did not pay fees.

Some jurisdictions do not allow certain limitations; in those jurisdictions, Glomiq's liability is limited to the fullest extent permitted by applicable law.

14. Indemnity

You will defend and indemnify Glomiq and its affiliates, officers, directors, employees, and agents against any third-party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Services, or your violation of these Terms or applicable law.

15. Suspension and Termination

You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, or if we are required to do so by law.

Upon termination, your right to access the Services ceases. Provisions intended to survive (including intellectual property, disclaimers, limitations of liability, indemnity, and governing law) will survive.

16. Export and Sanctions

You represent that you are not prohibited from receiving the Services under applicable export control or sanctions laws. You will not use the Services in violation of those laws.

17. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles, subject to mandatory consumer protections in your jurisdiction.

Subject to applicable law, courts located in India shall have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services, unless you have a mandatory right to bring claims in your local courts.

18. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a revised "Last Updated" date. If changes are material, we will provide additional notice where required by law (for example, by email or in-product notice). Continued use after the effective date may constitute acceptance, where permitted by law.
